STANDARD TRADING CONDITIONS

All transactions conducted by Ocean Shipping Agency (PTY) LTD (referred to as "the Company") in relation to its business are subject to the following terms and conditions (referred to as "the Conditions"), unless otherwise expressly agreed upon or stated in writing by the Company.

PLEASE NOTE: THESE CONDITIONS INCLUDE PROVISIONS REGARDING EXCLUSION AND LIMITATION OF LIABILITY, TIME LIMITATIONS, AND REQUIREMENTS FOR INDEMNIFICATION OF THE COMPANY BY THE PRINCIPAL AND MERCHANT. IT IS ADVISED TO CONSIDER INSURANCE AGAINST THESE RISKS.

If any international convention, transport law, regulation, or directive is compulsorily applicable to the services provided by the Company, these Conditions shall be interpreted as a waiver by the Company of any rights or an increase in responsibilities or liabilities under such legislation. In case any part of these Conditions conflicts with such legislation, that part shall be overridden to that extent, and no further.

Definitions:

a. "Services": Refers to the services provided by the Company to the Merchant and Principal or Merchant's subcontractor through the Company.

b. "Supplier": Refers to the company, firm, or person contracting to supply services or goods to the Principal or Merchant through the Company.

c. "Merchant": Refers to the company, firm, or person (or any agent or subcontractor thereof) involved in shipping, receiving, owning, forwarding goods, or holding the bill of lading, in respect of which the Company, as agent or principal, has agreed to provide or procure services.

d. "Principal": Refers to the company, firm, or person who has instructed the Company and is the owner, charterer, or operator of the vessel represented by the Company and/or the carrier under the bill of lading for which the Company provides services.

e. "Goods": Refers to any wares, merchandise, articles, or containers used for carrying cargo.

f. "SDR": Special Drawing Right as defined by the International Monetary Fund.

g. "Direct Representative": Refers to the Company acting on behalf of the Merchant and/or Principal with the South Africa Revenue Service (SARS).

h. The terms are interpreted in accordance with their gender and number, and "persons" include bodies corporate, unincorporated associations, and partnerships.

i. Headings are for convenience and do not affect interpretation.

Transactions with the Principal:

  1. The Principal shall indemnify the Company for all liabilities incurred by the Company when acting as a port, liner, or booking agent on the Principal's behalf, except for those arising from the Company's negligence or willful misconduct.
  2. The Principal shall promptly pay sums requested by the Company as an advance on port disbursements.
  3. The Company is entitled to deduct amounts due from the Principal from sums held for the Principal's account.
  4. The Company may appoint sub-agents with the Principal's consent.
  5. Six months' written notice is required for termination of agency.
  6. The Company's responsibility regarding filing data with a port facility is limited.
